Terms of Service

These Terms of Service ("Terms") govern the use of the ModelMatch Shopify application and modelmatchapp.co website (collectively, the "Service"), operated by Patriot Performance Gear LLC ("we," "us," "our," or "ModelMatch").

By installing ModelMatch on your Shopify store, accessing modelmatchapp.co, or otherwise using the Service, you ("Merchant" or "you") agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility and account

1.1 To use ModelMatch, you must:

  • Operate a legally active Shopify store
  • Be at least 18 years old or of legal age in your jurisdiction
  • Have the authority to enter into these Terms on behalf of your business
  • Not be barred from using Shopify or the Shopify App Store

1.2 Your account is tied to your Shopify store. We authenticate you through Shopify's OAuth flow — we do not create separate ModelMatch user accounts. Installation of the app grants you access; uninstallation revokes it.

1.3 You are responsible for all activity occurring under your store's ModelMatch installation, including actions taken by your staff or any users to whom you grant Shopify admin access.

2. Subscription and billing

2.1 Plans

ModelMatch is available in three subscription tiers at the following monthly prices:

  • Starter: $19/month
  • Growth: $39/month
  • Professional: $79/month

Each plan includes specific feature access and usage limits as described in the ModelMatch admin and on modelmatchapp.co/pricing. Plan details are subject to change; changes will be communicated before they affect you.

2.2 Free trial

New installations include a 14-day free trial on any plan. No payment is collected during the trial. At the end of the trial, your selected plan begins billing unless you cancel.

2.3 Billing

All billing is handled by Shopify through Shopify's Managed App Pricing. You authorize Shopify to charge you according to the plan you select. Patriot Performance Gear LLC does not collect, store, or process payment methods directly.

2.4 Plan changes

You may upgrade or downgrade your plan at any time from the ModelMatch admin. Upgrades take effect immediately; downgrades take effect at the next billing cycle. Shopify handles proration.

2.5 No refunds

All fees are non-refundable. Because billing is managed by Shopify, the Shopify refund policy applies. Canceling your subscription stops future billing but does not generate a refund for the current billing period.

2.6 Usage limits

Each plan includes specific limits (for example, on active compatibility records, CSV import size, and analytics history). Exceeding these limits may result in degraded service or a requirement to upgrade. We will notify you as you approach plan limits.

3. Acceptable use

3.1 You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Upload compatibility data that you do not have the right to use
  • Use the Service to harass, defraud, or deceive your shoppers
  • Upload malicious content, viruses, or harmful code
  • Attempt to probe, scan, or test the vulnerability of the Service
  • Reverse-engineer, decompile, or attempt to extract source code from the Service
  • Use the Service to compete directly with ModelMatch by building a competing product
  • Resell or sublicense access to the Service without our written consent
  • Engage in any activity that violates Shopify's Acceptable Use Policy

3.2 Fair use

Each plan includes reasonable usage limits. If your usage significantly exceeds normal patterns (for example, making hundreds of thousands of lookup requests per day from your storefront), we may contact you to discuss your use case. Malicious or abusive usage may result in suspension.

3.3 Rate limiting

We apply reasonable rate limits (currently 60 requests per minute per shop) to protect service performance. These limits may be adjusted without prior notice.

4. Merchant content and data

4.1 Ownership of Merchant content

You retain all ownership rights to the compatibility records, product data, settings, and other content you create or upload through the Service ("Merchant Content"). We do not claim ownership of your data.

4.2 License to operate the Service

You grant us a limited, non-exclusive license to host, process, transmit, and display your Merchant Content solely for the purpose of operating the Service on your behalf. This license ends when you uninstall the app or delete your data.

4.3 Your responsibilities for Merchant Content

You are solely responsible for:

  • The accuracy of compatibility data you provide
  • Ensuring you have rights to any data you upload
  • Complying with applicable laws regarding data collection, storage, and processing
  • Maintaining backups of your critical data

We are not liable for inaccuracies in Merchant Content or for decisions shoppers make based on compatibility data you provide.

4.4 Data export and deletion

You may export your Merchant Content at any time via the Records page in the ModelMatch admin. When you uninstall the app, we begin the data deletion process as described in our Privacy Policy.

5. Intellectual property

5.1 Our IP

The Service, including the ModelMatch name, logo, software, design, and all underlying technology, is owned by Patriot Performance Gear LLC and protected by copyright, trademark, and other intellectual property laws. We grant you only a limited, non-exclusive, non-transferable license to use the Service according to these Terms.

5.2 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use that feedback to improve the Service without obligation to you.

6. Third-party services

6.1 The Service integrates with Shopify, Google Cloud, Cloudflare, Anthropic, and other third-party services. Your use of those integrations is subject to their respective terms and privacy policies. We are not responsible for third-party services or for any changes they may make.

6.2 If a third-party service we depend on becomes unavailable or changes its terms, we may need to modify or discontinue features of the Service. We will provide reasonable notice when possible.

7. Warranties and disclaimers

7.1 Service provided "as is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE.

7.2 No warranty on compatibility accuracy

ModelMatch is a tool that enables you to manage and display compatibility data. The accuracy of that data depends entirely on what you input. We make no warranty regarding:

  • Whether specific parts actually fit specific equipment
  • Whether compatibility data is complete or up to date
  • Outcomes arising from shopper decisions based on ModelMatch-displayed information

Compatibility data accuracy is your responsibility as the merchant.

7.3 Service availability

We strive to maintain high uptime but do not guarantee the Service will be uninterrupted, error-free, or available at all times. Planned maintenance, third-party outages, force majeure events, and other factors may affect availability.

8. Limitation of liability

8.1 TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL PATRIOT PERFORMANCE GEAR LLC, ITS OFFICERS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR:

  • ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL
  • DAMAGES ARISING FROM SHOPPER DECISIONS MADE BASED ON COMPATIBILITY DATA
  • DAMAGES ARISING FROM THIRD-PARTY SERVICES OR INTEGRATIONS

8.2 Liability cap

OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS (USD $100).

8.3 Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, the above limitations apply only to the extent permitted by law.

9. Indemnification

You agree to indemnify, defend, and hold harmless Patriot Performance Gear LLC, its officers, employees, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of:

  • Your use of the Service in violation of these Terms
  • Your Merchant Content (including claims that your compatibility data is inaccurate, misleading, or infringes on third-party rights)
  • Your violation of any law or third-party right
  • Claims brought by your shoppers arising from compatibility information displayed on your store

10. Termination

10.1 Termination by you

You may terminate these Terms at any time by uninstalling the ModelMatch app from your Shopify store.

10.2 Termination by us

We may suspend or terminate your access to the Service at any time, with or without notice, if:

  • You violate these Terms
  • You violate Shopify's terms
  • Required by law
  • Your account shows signs of fraudulent, abusive, or illegal activity
  • We discontinue the Service

10.3 Effect of termination

Upon termination:

  • Your access to the Service ends
  • Your Merchant Content will be deleted according to our Privacy Policy
  • Already-billed subscription fees are not refunded
  • Provisions of these Terms that by their nature should survive termination (including intellectual property, indemnification, and liability provisions) will survive

11. Changes to these Terms

We may modify these Terms from time to time. Material changes will be communicated via email or in-app notice at least 30 days before taking effect (or as soon as reasonably possible if changes are required by law or third-party services).

Your continued use of the Service after the effective date of updated Terms constitutes acceptance.

12. Governing law and disputes

12.1 Governing law

These Terms are governed by the laws of the State of West Virginia, USA, without regard to conflict of law principles.

12.2 Jurisdiction

Any legal action or proceeding arising under these Terms will be brought in the state or federal courts located in West Virginia, USA, and you consent to the personal jurisdiction of those courts.

12.3 Informal resolution

Before filing any formal legal action, you agree to attempt to resolve disputes informally by contacting us at support@modelmatchapp.co. Most issues can be resolved quickly through direct communication.

13. Miscellaneous

13.1 Entire agreement. These Terms, along with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Patriot Performance Gear LLC regarding the Service.

13.2 Severability. If any provision of these Terms is found unenforceable, the remaining provisions remain in effect.

13.3 No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.

13.4 Assignment. You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

13.5 Relationship. Nothing in these Terms creates a partnership, employment, or agency relationship between you and us. We are independent contractors.

13.6 Force majeure. Neither party is liable for failure to perform due to events beyond reasonable control, including natural disasters, war, terrorism, pandemic, labor disputes, or internet service disruptions.
